*UV-PAP*
*United Voices for Pan African Progress*
*Mission Statement:* United Voices for Pan African Progress is a grassroots movement dedicated to fostering the unity of Africa through collective action and empowerment. We firmly believe that the key to Africa's progress lies in the hands of its people. Recognizing the shortcomings of our state leaders in effectively uniting our continent, we are committed to mobilizing communities across Africa to take charge of their own destinies and work together towards a shared vision of unity and prosperity. *Our Vision:* Our vision is of a vibrant and united Africa where the voices of its people are heard and respected, where collaboration and solidarity transcend borders, and where historical injustices are acknowledged and addressed. We understand that Africa's past is marked by exploitation, colonization, and oppression, but we refuse to let these injustices define our future. Instead, we see them as lessons learned and reminders of the strength and resilience of the African spirit. *Our Values:* 1. *People-Driven:* At UV-PAP, we believe in the power of the African people to drive change from within their communities. We empower individuals to take ownership of their futures and actively participate in shaping the destiny of our continent. 2. *Unity:* We celebrate the diversity of Africa and recognize that our strength lies in our unity. By coming together as one, we can overcome any obstacle and build a brighter future for generations to come. 3. *Acknowledgment of Historical Injustices:* We acknowledge the deep-rooted historical injustices that have shaped our continent, including colonization, exploitation, and oppression. While we honor the struggles of our ancestors, we refuse to be defined by them. Instead, we use them as catalysts for change and inspiration for a better tomorrow. 4. *Empowerment:* We are committed to empowering African communities to chart their own path towards progress and development. Through education, advocacy, and grassroots organizing, we equip individuals with the tools and resources they need to succeed. 5. *Resilience:* The African spirit is resilient and unyielding in the face of adversity. We draw strength from our collective resilience and determination to overcome challenges and build a brighter future for our continent. Historical Context:* Throughout history, numerous scholars and leaders have championed the ideals of African unity and Pan-Africanism. From the writings of scholars to the actions of visionary heads of state, there has been a consistent call for Africa to realize its full potential and assert its independence from colonial influences. However, many of these leaders who dared to challenge the status quo were met with resistance, often facing assassination or being branded as terrorists. *Transition from Theory to Action:* UV-PAP believes that the time for mere theoretical discussions is over. The scholarly research and writings about African unity and self-dependence are ripe for swift implementation. We are determined to move from the stage of academic discourse to practical action, without depending solely on our political leaders. To achieve this, UV-PAP plans to organize massive demonstrations across all African states, engage in peaceful resistance, and explore all possible avenues for change that our members collectively devise. *Join Us:* We invite all those who share our vision and values to join us in our quest for a more united and prosperous Africa. Whether you are an African citizen, a member of the diaspora, or a global ally committed to supporting African progress, there is a place for you in our movement. Together, we can build a continent where every voice is heard, every individual is empowered, and every community thrives. Join us in shaping the future of Africa and realizing the dreams of generations past, present, and future. United, we can achieve anything.

purchase moving forward.

You may want to contact a financial professional to discuss possible investment outcomes.
For Regulation Crowdfunding,
investors are able to cancel their investment at any point throughout the campaign
up until 48 hours before the closing of the offering. Note: If the company does a

able to cancel the investment. If your funds show as 'Invested' on your
account dashboard, your investment can no longer be canceled.
For
Regulation A+, UV-PAP allows for a 48 hour cancelation period. Once the 48 hour

may find the company's cancelation policy in the company's offering
circular.

Unfortunately, we are at the mercy of the bank, but we will do everything we can to
get you your refund as soon as possible. However, every investment needs to go
through the clearing process in order to get sent back to the account associated
with the investment.
Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. UV-PAP Marketplace (“SE Marketplace”) is a website operated by UV-PAP Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.UV-PAP Secondary (“SE Secondary”) is our investor trading platform. UV-PAP Bulletin Board ("SE BB") is a bulletin board platform that advertises interest in shares of private companies that previously executed Reg CF or Reg A offerings. SE BB enables shareholders to communicate interest in potential sales of shares in private companies and investors to discover, review, and potentially invest in private companies. As a bulletin board platform, SE BB provides a venue for investors to access information about private company offerings and connect with potential sellers. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. While a security may be displayed on the bulletin board, these securities will be subject to certain restrictions which may prevent the ability to buy and sell these securities in a timely manner, if at all. Even if a security is qualified to be displayed on the bulletin board, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
The availability of company information does not indicate that the company has endorsed, supports, or otherwise participates with UV-PAP. It also does not constitute an offer to provide investment advice or service. UV-PAP does not (1) make any recommendations or otherwise advise on the merits or advisability of a particular investment or transaction, (2) assist in the determination of the fair value of any security or investment, or (3) provide legal, tax, or transactional advisory services.

Investing in private company securities is not suitable for all investors. An investment in private company securities is highly speculative and involves a high degree of risk. It should only be considered a long-term investment. You must be prepared to withstand a total loss of your investment. Private company securities are also highly illiquid, and there is no guarantee that a market will develop for such securities. Each investment also carries its own specific risks, and you should complete your own independent due diligence regarding the investment. This includes obtaining additional information about the company, opinions, financial projections, and legal or other investment advice. Accordingly, investing in private company securities is appropriate only for those investors who can tolerate a high degree of risk and do not require a liquid investment.
